The deal structure and execution

  • The Share Purchase Agreement was signed on 13th April 2009; transaction settled 30 September 2009
  • Controlling stake for PPF Group (“decisive vote” – 50% plus 1 share)
  • 2 Board chairs
  • Executive control over agreed key areas, including the company’s finances, purchasing, IT, HR, internal audit, security, legal, compliance belongs to PPF Group 
  • PPF Group and Eldorado agreed on key performance parameters for immediate start of restructuring processes
